These Terms of Service ("Terms") create a legal agreement between you ("you," "User," or "Customer") and Seamium Ltd. ("Seamium," "we," "us," or "our"). These terms control how you use our digital energy services, applications, websites, platforms, and related products, including Seamium Pay and AI-powered energy optimization features (together, the "Services").
IMPORTANT: When you access or use our Services, you confirm that you have read, understood, and agree to follow these Terms. If you don't agree to these Terms, please don't use our Services.

1. INTRODUCTION
These Terms apply no matter how you access our Services: through mobile apps, desktop platforms, APIs, third-party connections, or connected hardware. They cover your use whether you're a customer, partner, developer, or just visiting our platform.
We may update these Terms from time to time to reflect changes in our business, technology, legal requirements, or user feedback. When we make important changes, we'll notify you by email, through our Services, or by updating the "Last Updated" date above. If you keep using our Services after changes, it means you accept the updated Terms.
If you're signing up on behalf of a company or organization, you confirm that you have the authority to agree to these Terms for that entity.
Please check these Terms periodically to stay informed about updates. We suggest reviewing them whenever you use our Services or after getting notice of changes.
2. WHO CAN USE OUR SERVICES
2.1 Age Requirements
You must be at least 18 years old (or the legal adult age where you live) to create an account and use our Services. By using our platform, you confirm that you meet this age requirement. Seamium doesn't allow people under this age to register or use our Services.
2.2 Legal Authority
You must have the legal ability and authority to enter into this agreement under applicable laws. If you're using our Services for a company, organization, government, or other legal entity, you confirm that you have the authority to bind that entity to these Terms.
2.3 Following Laws
You can only use our Services if it's legal where you are. You're responsible for making sure your use of Seamium complies with local energy regulations, data protection laws, and any industry-specific rules that apply to you.
2.4 Geographic Restrictions
Seamium may limit access to our Services in certain countries or regions due to trade restrictions, sanctions, or local laws. You agree not to use our Services if you're located in, or are a citizen or resident of, a country under embargo by Nigeria, the United States, or other applicable jurisdictions, or if you're on any government restricted list.
3. ACCOUNTS AND REGISTRATION
3.1 Creating Your Account
You must provide accurate, complete, and current information when you register and keep your account details updated. This includes your full name, email address, phone number, organization (if applicable), and payment information for Seamium Pay or subscription features.
Seamium can reject or close accounts that contain false, misleading, or incomplete information.
3.2 Keeping Your Account Safe
You're responsible for keeping your login credentials confidential, including your username and password. Don't share your credentials with others and contact us immediately at [email protected] if you suspect unauthorized use or security issues.
Seamium won't be responsible for any loss or damage from your failure to protect your account information or promptly report security problems.
3.3 Using Your Account
Each account is for a single user or organization. You can't pretend to be someone else, misrepresent who you are, or use another user's account without permission.
Seamium may monitor account activity to ensure compliance with these Terms and can suspend or close accounts that violate our policies.
3.4 Connected Services
You can connect your Seamium account to third-party platforms or devices (like smart meters, Google Home, or payment services). You're responsible for managing these connections and their permissions. We may remove access to any connection that creates security or compliance risks.
4. WHAT WE OFFER
Seamium is an AI-powered energy intelligence platform that helps individuals and organizations monitor, optimize, and manage their energy use. Our Services work through mobile and web applications, APIs, cloud infrastructure, and hardware connections.
4.1 Main Features
Seamium provides various services that include:
- Real-time and historical energy monitoring and reporting
- AI-powered energy usage optimization and forecasting
- Automated control of connected devices and energy systems
- Seamium Pay for secure, AI-powered billing, payments, and invoicing
- Personalized dashboards, analytics, alerts, and recommendations
- Connections with third-party platforms (smart meters, solar inverters, EV chargers)
We may add, modify, or remove features to improve performance, enhance user experience, or comply with legal requirements.
4.2 Service Availability
Seamium works to provide continuous and reliable access to our Services. However, we can't guarantee that our Services will always be available, error-free, or uninterrupted. Temporary interruptions may happen due to maintenance, upgrades, or factors beyond our control.
4.3 Changes and Updates
We may modify, update, or discontinue any part of our Services at any time, with or without notice. This includes changes to user interfaces, data analytics models, billing methods, or compatibility with third-party systems.
Your continued use of our Services after such changes means you accept the modified Services.
4.4 Third-Party Services and Connections
Some Seamium features let you connect or sync with third-party services like smart meters, solar inverters, batteries, EV chargers, smart home platforms (Google Home, Alexa), payment gateways, financial services, and external data sources or APIs.
When you enable these connections, you give Seamium permission to access and use relevant data to deliver the service. We may use tools and technologies from trusted vendors to support data analytics, communications, customer support, AI and automation, and system performance.
Seamium isn't responsible for the availability, accuracy, or performance of third-party services and doesn't endorse or guarantee their content. Using these connections is subject to the terms and policies of those third-party providers. Our Services may contain links to external websites or materials not owned or controlled by Seamium. Use external links at your own risk, and we recommend reviewing the privacy and terms policies of those providers.
You can disable or disconnect third-party services anytime through your Seamium account settings. When you disconnect, no new data will be shared, but previously shared data may remain stored according to the third party's policies.
4.5 Beta and Test Features
Sometimes Seamium may offer access to Beta Services or test features still in development. These are available to select users on a limited, trial, or test basis and are provided "as is." They may be incomplete, unstable, or contain bugs, aren't covered by service-level agreements, and may be changed, suspended, or discontinued anytime without notice.
Your participation in any Beta program is voluntary. If you provide feedback about these features, you give Seamium the unrestricted right to use and incorporate that feedback without compensation. Unless stated otherwise, Beta Services are confidential, and you agree not to share information about them without our written consent. Participation doesn't guarantee that features will become publicly available.
5. YOUR RESPONSIBILITIES
When using Seamium's Services, you agree to use them lawfully, responsibly, and according to these Terms. Your obligations include:
5.1 Proper Use
You may only use our Services for their intended purpose and in ways that don't violate any applicable law, regulation, or others' rights. You agree not to:
- Use our Services for unlawful, fraudulent, deceptive, or harmful behavior
- Interfere with the functionality or security of the platform
- Access systems you don't own or aren't authorized to use
- Upload or transmit malware, spyware, viruses, or harmful code
- Bypass, disable, or interfere with access controls, security measures, or usage limits
5.2 Prohibited Activities
You must not:
- Reverse engineer, decompile, disassemble, or try to derive source code from our Services
- Use automated systems (bots, scrapers) to extract or mine data from Seamium without written consent
- Sell, resell, or sublicense our Services without express permission
- Misrepresent your identity or the origin of any content you transmit through our platform
- Use our Services in ways that could damage or impair our infrastructure or reputation
5.3 Legal Compliance
You're solely responsible for complying with all applicable laws and regulations related to your use of our Services, including local energy laws, privacy regulations, and data protection requirements.
5.4 Cooperation
You agree to cooperate with Seamium when we investigate suspected violations of these Terms, security incidents, or misuse of the platform. We can suspend or terminate access if we suspect non-compliance or abuse.
6. PAYMENTS AND BILLING
Seamium offers both free and paid features, including energy monitoring services, premium analytics, and Seamium Pay for billing and transactions. By using paid features, you agree to these terms:
6.1 Fees and Charges
Some Services may require a subscription or have usage-based fees. We'll clearly show applicable pricing when you purchase or activate features. Prices may vary based on your region, service tier, or custom agreements.
All fees are quoted in your local currency or as specified and exclude applicable taxes unless stated otherwise.
6.2 Billing and Payment Methods
To use paid Services, you must provide valid payment information through our secure platform. Seamium accepts major credit/debit cards and may support local payment methods depending on your region.
By submitting payment information, you authorize Seamium to charge you according to your selected plan and billing cycle (monthly, annually, etc.). You're responsible for keeping your payment information current.
6.3 Invoices and Receipts
Invoices and transaction receipts will be available through your account dashboard and may also be sent to your registered email. Seamium Pay may generate automated invoices based on your usage and preferences.
6.4 Payment Problems
If your payment fails or is declined, Seamium can suspend or limit access to paid features until the issue is resolved. We may retry failed charges and may use collection services if necessary.
6.5 Refunds and Cancellations
Unless stated otherwise, all payments are final. You may cancel your subscription anytime through your account settings. Cancellation takes effect at the end of the current billing period. You'll keep access to our Services through the remainder of the paid term.
Refunds may be issued at our discretion for billing errors, service outages, or other special circumstances.
6.6 Taxes
You're responsible for any applicable taxes, levies, or duties imposed by taxing authorities related to your use of our Services, excluding taxes based on Seamium's net income.
7. AI-POWERED FEATURES
Seamium uses artificial intelligence and machine learning technologies to deliver smart energy insights, automate optimization routines, enhance billing accuracy, and improve overall system performance.
7.1 AI-Powered Services
AI functionality is built into several Seamium services, including:
- Personalized energy usage insights and predictions
- Automated device scheduling and load balancing
- Fraud detection and billing optimization through Seamium Pay
- Customer support chat and smart alerts
- Behavioral and usage pattern analysis for platform improvement
7.2 Accuracy and Limits
Seamium works hard to ensure the accuracy of AI-generated outputs. However, because of how machine learning works, results may occasionally be incorrect, incomplete, or misleading. You agree to use good judgment when relying on AI-generated insights and understand that such outputs don't replace professional advice or human judgment.
7.3 Human Review
When AI significantly impacts your experience (like billing recommendations or automation triggers), Seamium ensures that systems are in place for human review, override, or appeal.
7.4 Data Use for Improvement
Seamium may use anonymized and aggregated usage data to train, test, and improve our AI models. Your personal data isn't used for AI training without your explicit consent. We don't sell data to third parties.
7.5 Transparency and Control
Where possible, Seamium will provide transparency into how certain AI features work (like billing insights or anomaly alerts). You may disable or opt out of select AI-powered features through your account settings or by contacting support.
8. INTELLECTUAL PROPERTY
All content, technology, and materials provided through the Seamium platform are the intellectual property of Seamium Ltd. or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.
8.1 Ownership
Seamium owns all rights, title, and interest in:
- Our Services, including all software, user interfaces, designs, algorithms, and databases
- Seamium trademarks, logos, branding, and domain names
- Documentation, tutorials, and training materials
- All updates, enhancements, and derivative works based on our Services
You don't gain any ownership rights by using our Services.
8.2 Your License to Use Our Services
Subject to these Terms, Seamium gives you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services solely for your personal or internal business purposes.
You may not:
- Copy, reproduce, modify, or distribute any part of our Services without our prior written permission
- Reverse engineer, decompile, or try to extract the source code of our software
- Use our content or branding in ways that suggest endorsement or partnership without authorization
8.3 Feedback and Suggestions
If you submit any ideas, suggestions, enhancements, or feedback about our Services ("Feedback"), you agree that Seamium may use and incorporate this Feedback freely, without restriction or compensation to you. You waive any rights to ownership or attribution for such Feedback.
8.4 Third-Party Content
Our Services may contain or display content owned by third parties, including open-source components, APIs, or data sources. Such content is subject to the respective third-party licenses and terms, which you must comply with.
9. PRIVACY AND DATA USE
Seamium is committed to protecting your privacy and handling your personal data responsibly. Our collection, use, and protection of personal data are controlled by our Privacy Policy, which is part of these Terms.
By using our Services, you agree to the practices outlined in the Privacy Policy.
9.1 Data We Collect
We collect and process various types of data, including:
- Personal information (name, email, phone number)
- Device and technical data (IP address, browser type, app version)
- Energy usage, behavioral insights, and system interactions
- Transaction and billing information (via Seamium Pay)
- Support communications and preferences
We collect this data to deliver, secure, and improve our Services.
9.2 Consent and Transparency
You consent to our data practices by using our platform and may adjust your preferences through your account settings. Where required by law, we'll seek your explicit consent for:
- Marketing communications
- Third-party data sharing
- Participation in research, analytics, or beta testing
- AI personalization features (where applicable)
9.3 How We Use Your Data
Your data may be used for:

- Billing and payment processing

10. ACCOUNT SUSPENSION AND TERMINATION
Seamium can suspend or terminate your access to our Services at any time, with or without notice, under the conditions outlined below.
10.1 When You End Your Account
You may cancel your account and stop using our Services anytime by:
- Going to your account settings and selecting "Close Account," or
- Contacting us at [email protected]
Account cancellation will be effective at the end of your current billing cycle unless you request immediate closure.
10.2 When We End Your Account
We may suspend, deactivate, or terminate your access to some or all Services if:
- You violate these Terms or any applicable law
- You misuse or try to compromise the security, stability, or functionality of our platform
- We're required to do so by law, regulation, or court order
- Your billing fails repeatedly or your payment method is invalid
- Your use threatens other users, systems, or Seamium's infrastructure
We'll try to notify you in advance unless prohibited by law or necessary for immediate platform protection.
10.3 What Happens After Termination
When your account is terminated:
- Your right to access our Services will immediately stop
- Your account data may be retained, deleted, or anonymized per our Privacy Policy and data retention practices
- Seamium isn't liable to you or any third party for terminating your access or account
- Outstanding payments and obligations remain enforceable even after termination
10.4 Terms That Continue
Some provisions of these Terms will remain in effect after termination, including intellectual property provisions, indemnity, warranty disclaimers, liability limits, governing law and dispute resolution, and this survival clause. These provisions will continue for as long as necessary to fulfill their purpose, enforce rights and obligations, or comply with applicable law.
11. DISCLAIMERS AND LIABILITY LIMITS
You use Seamium's Services at your own risk. While we work hard to deliver high-quality, reliable tools, our Services are provided without warranties or guarantees of any kind.
11.1 No Warranties
To the fullest extent permitted by law, Seamium disclaims all warranties, express or implied, including:
- Warranties of merchantability, fitness for a particular purpose, title, and non-infringement
- Warranties that our Services will be uninterrupted, error-free, secure, or compatible with all devices
- Warranties about the accuracy, completeness, or usefulness of any content or insights generated (including AI-powered outputs)
We don't guarantee that our Services will identify every energy inefficiency, billing issue, or device malfunction, and we're not responsible for decisions you make based on our analytics or recommendations.
Beta Services and test features are provided "as is" and may be incomplete, unstable, or contain bugs. They aren't covered by service-level agreements and may be changed, suspended, or discontinued anytime without notice. Seamium makes no warranties about the reliability, performance, or accuracy of Beta Services.
11.2 Liability Limits
To the maximum extent permitted by law, Seamium and its affiliates, officers, employees, agents, or licensors won't be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business, reputation, or anticipated savings
- Unauthorized access to or alteration of your transmissions or data
- Issues caused by third-party platforms, devices, or service disruptions
Our total liability under these Terms for any claim related to our Services won't exceed the amount you paid to Seamium in the 12 months before the claim or ₦50,000 (or its equivalent), whichever is lower.
11.3 Legal Exceptions
Some jurisdictions don't allow excluding certain warranties or limiting liability for consequential or incidental damages. In such cases, our liability will be limited to the minimum extent permitted by law.
12. PROTECTION FROM CLAIMS
You agree to protect, defend, and hold harmless Seamium Ltd., its affiliates, officers, directors, employees, partners, contractors, and agents (together, the "Protected Parties") from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your access to or use of our Services
- Your violation of these Terms or any applicable law or regulation
- Your breach of any representations or warranties made under these Terms
- Any data you provide that infringes, misappropriates, or violates third party rights
- Any misuse or unauthorized use of our Services, including by someone using your account
12.1 Defense and Settlement
Seamium can choose, at your expense, to take control of defending any matter subject to this protection. You agree to cooperate with our defense of any claim and not to settle any matter without our prior written consent.
12.2 Continuing Obligation
Your protection obligations will continue after termination or suspension of your account and use of our Services.
13. LEGAL TERMS AND DISPUTES
These Terms, and any dispute or claim arising from them, will be governed by and interpreted according to the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
13.1 Legal Jurisdiction
You agree that any legal action or proceeding arising under or relating to these Terms will be brought exclusively in the courts of competent jurisdiction located in Lagos, Nigeria. You consent to the personal jurisdiction of those courts for resolving such disputes.
13.2 Resolving Disputes
Before starting formal legal proceedings, you agree to try to resolve any dispute with Seamium informally by contacting [email protected]. We'll try to resolve the dispute through good faith negotiations within 30 days of receiving your written notice.
If the dispute can't be resolved informally, either party may pursue legal remedies according to the jurisdiction and governing law specified above.
13.3">Emergency Relief
Nothing in this section prevents Seamium from seeking emergency or equitable relief in a court of competent jurisdiction to prevent or stop unauthorized use of our Services, infringement of intellectual property rights, or breach of confidentiality obligations.
13.4">International Users
If you access our Services from outside Nigeria, you do so at your own risk and are responsible for compliance with local laws. Seamium makes no representation that our Services are appropriate or available in all jurisdictions.

If you access the Services from outside Nigeria, you do so at your own risk and are responsible for compliance with local laws. Seamium makes no representation that the Services are appropriate or available in all jurisdictions.
