These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User," or "Customer") and Seamium Ltd. ("Seamium," "we," "us," or "our"), governing your use of our digital energy services, applications, websites, platforms, and any related products, including Seamium Pay and AI-driven energy optimization features (collectively, the "Services").
IMPORTANT: By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use or access the Services.

1. INTRODUCTION
These Terms apply to all forms of access to our Services, including mobile applications, desktop platforms, APIs, third-party integrations, and connected hardware. They govern your use whether you are a customer, partner, developer, or visitor to our platform.
We reserve the right to update or modify these Terms at any time to reflect changes in our business practices, technology, legal requirements, or user feedback. When we make material changes, we will notify you by email, through our Services, or by updating the "Last Updated" date at the top of this document. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
If you are entering into this agreement on behalf of an organization or entity, you represent that you have the authority to bind that organization to these Terms.
2. ELIGIBILITY
2.1 Minimum Age
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an account and use the Services. By using the platform, you represent and warrant that you meet this age requirement. Seamium does not knowingly allow individuals under this age to register or use its Services.
2.2 Legal Capacity
You must have the legal capacity and authority to enter into a binding agreement under applicable laws. If you are using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
2.3 Compliance with Laws
You may only use the Services in compliance with all applicable laws and regulations. You are solely responsible for ensuring that your use of Seamium is legal in your location, including compliance with local energy regulations, data protection laws, and any industry-specific obligations.
2.4 Restricted Jurisdictions
Seamium may restrict access to its Services in certain countries or regions that are subject to trade restrictions, sanctions, or where providing such Services would violate local laws. You agree not to use the Services if you are located in, or are a citizen or resident of, a country embargoed by the government of Nigeria, the United States, or other applicable jurisdictions, or if you are on any government-issued restricted or prohibited list.
3. ACCOUNTS AND REGISTRATION
3.1 Account Creation
You must provide accurate, complete, and current information during the registration process and keep your account details up to date. This may include your full name, email address, phone number, organization (if applicable), and payment information for Seamium Pay or subscription features.
Seamium reserves the right to reject or terminate accounts that contain false, misleading, or incomplete information.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials, including your username and password. You agree not to share your credentials with others and to notify us immediately at [email protected] if you suspect unauthorized use or any breach of security.
Seamium will not be liable for any loss or damage resulting from your failure to safeguard your account information or to promptly report security issues.
3.3 Account Usage
Each account is intended for a single user or organization. You may not impersonate another person, misrepresent your identity, or use the account of another user without permission.
Seamium reserves the right to monitor account activity to ensure compliance with these Terms and to suspend or terminate accounts that violate our policies.
3.4 Linked Services
You may choose to connect your Seamium account to third-party platforms or devices (e.g., smart meters, Google Home, payment services). You are responsible for managing these integrations and their associated permissions. We may revoke access to any integration that poses a security or compliance risk.
4. DESCRIPTION OF SERVICES
Seamium is an AI-powered energy intelligence platform designed to help individuals and organizations monitor, optimize, and manage their energy consumption. Our Services are offered through a combination of mobile and web applications, APIs, cloud infrastructure, and hardware integrations.
4.1 Core Features
Seamium provides a variety of services that may include, but are not limited to:
- Real-time and historical energy monitoring and reporting
- AI-driven energy usage optimization and forecasting
- Automated control of connected devices and energy systems
- Seamium Pay for secure, AI-enhanced billing, payments, and invoicing
- Personalized dashboards, analytics, alerts, and recommendations
- Integrations with third-party platforms (e.g., smart meters, solar inverters, EV chargers)
We may periodically add, modify, or remove features to improve performance, enhance user experience, or comply with legal requirements.
4.2 Availability
Seamium aims to provide continuous and reliable access to its Services. However, we do not guarantee that the Services will always be available, error-free, or uninterrupted. Temporary interruptions may occur due to maintenance, upgrades, or external factors beyond our control.
4.3 Modifications and Updates
We may modify, update, or discontinue any part of the Services at any time, with or without notice. This may include changes to user interfaces, data analytics models, billing methods, or compatibility with third-party systems.
Your continued use of the Services following any such changes constitutes your acceptance of the modified Services.
4.4 Third-Party Services and Integrations
Some functionality may rely on integrations with third-party applications, platforms, or hardware. Seamium is not responsible for the availability, accuracy, or performance of third-party services and does not endorse or guarantee their content. Use of such integrations is subject to the terms and policies of the respective third-party providers.
5. USER RESPONSIBILITIES
When using Seamium's Services, you agree to use them lawfully, responsibly, and in accordance with these Terms. Your obligations include the following:
5.1 Acceptable Use
You may only use the Services for their intended purpose and in a manner that does not violate any applicable law, regulation, or the rights of others. You agree not to:
- Use the Services to engage in unlawful, fraudulent, deceptive, or harmful behavior
- Interfere with the functionality or security of the platform
- Access systems that do not belong to you or that you are not authorized to use
- Upload or transmit any malware, spyware, viruses, or harmful code
- Circumvent, disable, or interfere with any access controls, security mechanisms, or usage limits
5.2 Prohibited Activities
You must not:
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services
- Use automated systems (e.g., bots, scrapers) to extract or mine data from Seamium without written consent
- Sell, resell, or sublicense the Services without express permission
- Misrepresent your identity or the origin of any content you transmit through the platform
- Use the Services in a way that could damage or impair our infrastructure or reputation
5.3 Legal and Regulatory Compliance
You are solely responsible for complying with all applicable laws and regulations related to your use of the Services, including local energy laws, privacy regulations, and data protection requirements.
5.4 Cooperation with Investigations
You agree to cooperate with Seamium in the investigation of suspected violations of these Terms, security incidents, or misuse of the platform. We reserve the right to suspend or terminate access if we suspect non-compliance or abuse.
6. PAYMENTS AND BILLING
Seamium offers both free and paid features, including energy monitoring services, premium analytics, and Seamium Pay for billing and transactions. By using any paid features, you agree to the following terms:
6.1 Fees and Charges
Some Services may require a subscription or incur usage-based fees. We will clearly display the applicable pricing at the point of purchase or activation. Prices may vary based on your region, service tier, or custom agreements.
All fees are quoted in your local currency or as specified, and are exclusive of applicable taxes unless stated otherwise.
6.2 Billing and Payment Methods
To use paid Services, you must provide valid payment information through our secure platform. Seamium accepts major credit/debit cards and may support local payment methods depending on your region.
By submitting payment information, you authorize Seamium to charge you according to your selected plan and billing cycle (e.g., monthly, annually). You are responsible for keeping your payment information up to date.
6.3 Invoicing and Receipts
Invoices and transaction receipts will be available through your account dashboard and may also be sent to your registered email. Seamium Pay may generate automated invoices based on your usage and preferences.
6.4 Failed Payments
If your payment fails or is declined, Seamium reserves the right to suspend or limit access to paid features until the issue is resolved. We may retry failed charges and may use collection services if necessary.
6.5 Refunds and Cancellations
Unless otherwise stated, all payments are non-refundable. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will retain access to the Services through the remainder of the paid term.
Refunds may be issued at our discretion in cases of billing errors, service outages, or other exceptional circumstances.
6.6 Taxes
You are responsible for any applicable taxes, levies, or duties imposed by taxing authorities related to your use of the Services, excluding taxes based on Seamium's net income.
7. BETA SERVICES AND EXPERIMENTAL FEATURES
From time to time, Seamium may offer access to Beta Services—features, functionalities, or products that are still in development or testing. These Beta Services are made available to select users on a limited, trial, or experimental basis.
7.1 Nature of Beta Services
Beta Services are provided "as is" and may be incomplete, unstable, or contain bugs. They are not covered by any service-level agreements (SLAs) and may be modified, suspended, or discontinued at any time without notice.
Seamium makes no warranties or representations regarding the reliability, performance, or accuracy of Beta Services.
7.2 Voluntary Participation
Your participation in any Beta program is entirely voluntary. You may stop using the Beta Service at any time. Seamium may also terminate or restrict Beta access at its sole discretion.
7.3 Feedback and Suggestions
If you provide feedback, comments, or suggestions regarding a Beta Service, you grant Seamium the unrestricted right to use, modify, and incorporate that feedback into its products or services without compensation or obligation.
7.4 Confidentiality
Unless otherwise stated, Beta Services and any associated communications are considered confidential. You agree not to disclose information about the Beta Service—including features, functionality, and user experience—without Seamium's prior written consent.
7.5 No Guarantees of Release
Participation in a Beta program does not guarantee that the feature will become publicly available. Seamium reserves the right to never release or to charge for features initially offered through Beta access.
8. USE OF ARTIFICIAL INTELLIGENCE
Seamium leverages artificial intelligence (AI) and machine learning technologies to deliver smart energy insights, automate optimization routines, enhance billing accuracy, and improve overall system performance.
8.1 AI-Powered Features
AI functionality is embedded in several Seamium services, including but not limited to:
- Personalized energy usage insights and predictions
- Automated device scheduling and load balancing
- Fraud detection and billing optimization through Seamium Pay
- Customer support chat and smart alerts
- Behavioral and usage pattern analysis for platform improvement
8.2 Accuracy and Limitations
Seamium uses commercially reasonable efforts to ensure the accuracy of AI-generated outputs. However, due to the probabilistic nature of machine learning, results may occasionally be incorrect, incomplete, or misleading. You agree to use discretion when relying on AI-generated insights and understand that such outputs are not a substitute for professional advice or human judgment.
8.3 Human Oversight
When AI is used in a way that significantly impacts your experience (e.g., billing recommendations or automation triggers), Seamium ensures that mechanisms are in place for human review, override, or appeal.
8.4 Data Use for Learning
Seamium may use anonymized and aggregated usage data to train, test, and improve its AI models. Your personal data is not used for AI training without your explicit consent. We do not sell data to third parties.
8.5 Transparency and Control
Where feasible, Seamium will provide transparency into how certain AI features function (e.g., billing insights or anomaly alerts). You may disable or opt out of select AI-based features through your account settings or by contacting support.
9. INTELLECTUAL PROPERTY
All content, technology, and materials provided through the Seamium platform are the intellectual property of Seamium Ltd. or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.
9.1 Ownership
Seamium retains all rights, title, and interest in and to:
- The Services, including all software, user interfaces, designs, algorithms, and databases
- Seamium trademarks, logos, branding, and domain names
- Documentation, tutorials, and training materials
- All updates, enhancements, and derivative works based on the Services
You do not acquire any ownership rights by using the Services.
9.2 License to Use the Services
Subject to these Terms, Seamium grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your personal or internal business purposes.
You may not:
- Copy, reproduce, modify, or distribute any part of the Services without our prior written permission
- Reverse engineer, decompile, or attempt to extract the source code of our software
- Use our content or branding in a way that suggests endorsement or partnership without authorization
9.3 Feedback and Suggestions
If you submit any ideas, suggestions, enhancements, or feedback about the Services ("Feedback"), you agree that Seamium may use and incorporate this Feedback freely, without restriction or compensation to you. You waive any rights to ownership or attribution for such Feedback.
9.4 Third-Party Content
The Services may contain or display content owned by third parties, including open-source components, APIs, or data sources. Such content is subject to the respective third-party licenses and terms, which you must comply with.
10. USER-GENERATED CONTENT
Seamium's platform may offer features that allow you or other users to submit, upload, post, or transmit content such as text, reviews, settings, usage data, feedback, or other materials ("User Content").
10.1 Ownership and Responsibility
You retain ownership of your User Content, but you are solely responsible for it. You represent and warrant that:
- You own or have all necessary rights to submit the User Content
- Your content does not infringe or violate the intellectual property or privacy rights of any third party
- Your content complies with all applicable laws and these Terms
Seamium disclaims any responsibility for User Content and does not endorse any opinions or recommendations expressed within it.
10.2 License to Seamium
By submitting User Content through the Services, you grant Seamium a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, host, store, reproduce, modify, display, distribute, and create derivative works of your content for the purpose of:
- Operating and improving the Services
- Customizing user experiences
- Responding to support issues
- Showcasing platform usage (in anonymized form)
This license continues even after you stop using the Services, unless you delete your content or explicitly request removal (subject to legal retention requirements).
10.3 Content Moderation and Removal
Seamium reserves the right, but not the obligation, to monitor, review, or remove User Content that violates these Terms, is illegal, offensive, misleading, or could damage the reputation or functionality of the Services.
We may suspend or terminate your access if you repeatedly violate this policy.
10.4 No Sensitive or Confidential Information
Do not upload confidential or sensitive personal information (e.g., financial records, passwords, personal health information) through general content fields unless expressly required and secured by the platform. Seamium is not responsible for protecting User Content submitted outside the intended scope of use.
11. PRIVACY AND DATA USE
Seamium is committed to protecting your privacy and handling your personal data responsibly. Our collection, use, and protection of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you agree to the practices outlined in the Privacy Policy.
11.1 Data Collection
We collect and process a variety of data, including but not limited to:
- Personal information (e.g., name, email, phone number)
- Device and technical data (e.g., IP address, browser type, app version)
- Energy usage, behavioral insights, and system interactions
- Transaction and billing information (via Seamium Pay)
- Support communications and preferences
The data collected is used to deliver, secure, and improve the Services.
11.2 Consent and Transparency
You consent to our data practices by using the platform and may adjust your preferences through your account settings. In jurisdictions where required, we will seek your explicit consent for:
- Marketing communications
- Third-party data sharing
- Participation in research, analytics, or beta testing
- AI personalization features (where applicable)
11.3 Use of Data
Your data may be used for purposes including:
- Providing core services and insights
- Billing and payment processing
- Customer support and notifications
- Personalization and energy optimization
- Legal compliance and fraud prevention
- Improving AI algorithms (in anonymized or aggregated form)
We do not sell your personal data to third parties.
11.4 Data Sharing
We only share your data with:
- Authorized service providers (e.g., payment processors, analytics partners)
- Third-party integrations you explicitly enable
- Legal authorities when required by law
- Parties to a business transfer, merger, or acquisition (with notice)

12. THIRD-PARTY SERVICES
Seamium may integrate with, reference, or make use of services, software, platforms, and content provided by third parties. Your use of these third-party services is at your discretion and subject to their own terms and policies.
12.1 Integrations
Certain features of the Seamium platform may allow you to connect or sync with third-party services, such as:
- Smart meters, solar inverters, batteries, or EV chargers
- Smart home platforms (e.g., Google Home, Alexa)
- Payment gateways and financial services
- External data sources or APIs
When you enable such integrations, you grant Seamium permission to access and use relevant data to deliver the service.
Seamium is not responsible for any data loss, errors, or misuse arising from your use of third-party integrations.
12.2 Third-Party Content and Links
The Services may contain links to external websites, dashboards, or materials not owned or controlled by Seamium. We are not responsible for the content, terms, or practices of any third-party websites or services.
Use of external links is at your own risk, and we recommend reviewing the privacy and terms policies of those providers.
12.3 Third-Party Tools
We may use tools and technologies provided by trusted vendors to support:
- Data analytics
- Communications and customer support
- AI and automation
- System performance and diagnostics
These third parties are contractually bound to protect your data and may only process it on Seamium's behalf and under our instructions.
12.4 Revocation of Access
You may disable or disconnect third-party services at any time through your Seamium account settings. Upon disconnection, no new data will be shared, but previously shared data may remain stored according to the third party's policies.
13. SUSPENSION AND TERMINATION
Seamium reserves the right to suspend or terminate your access to the Services at any time, with or without notice, under the conditions outlined below.
13.1 Termination by You
You may cancel your account and stop using the Services at any time by:
- Visiting your account settings and selecting "Close Account," or
- Contacting us at [email protected]
Account cancellation will be effective at the end of your current billing cycle unless immediate closure is requested.
13.2 Termination by Seamium
We may suspend, deactivate, or terminate your access to some or all of the Services if:
- You violate these Terms or any applicable law
- You misuse or attempt to compromise the security, stability, or functionality of the platform
- We are required to do so by law, regulation, or court order
- Your billing fails repeatedly or your payment method is invalid
- Your use poses a threat to other users, systems, or Seamium's infrastructure
We will make reasonable efforts to notify you in advance unless prohibited by law or necessary for immediate platform protection.
13.3 Effects of Termination
Upon termination:
- Your right to access the Services will immediately cease
- Your account data may be retained, deleted, or anonymized per our Privacy Policy and data retention practices
- Seamium is not liable to you or any third party for the termination of your access or account
- Outstanding payments and obligations remain enforceable even after termination
13.4 Preservation of Rights
Any provisions of these Terms that, by their nature, should survive termination will remain in effect. These include, but are not limited to: ownership provisions, indemnity, warranty disclaimers, and limitations of liability.
14. DISCLAIMERS AND LIMITATION OF LIABILITY
Your use of Seamium's Services is at your own risk. While we strive to deliver high-quality, reliable tools, the Services are provided without warranties or guarantees of any kind.
14.1 Disclaimers
To the fullest extent permitted by law, Seamium disclaims all warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, title, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, secure, or compatible with all devices
- Warranties regarding the accuracy, completeness, or usefulness of any content or insights generated (including AI-powered outputs)
We do not guarantee that the Services will identify every energy inefficiency, billing issue, or device malfunction, nor are we responsible for decisions you make based on our analytics or recommendations.
14.2 Limitation of Liability
To the maximum extent permitted by applicable law, Seamium and its affiliates, officers, employees, agents, or licensors will not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business, reputation, or anticipated savings
- Unauthorized access to or alteration of your transmissions or data
- Issues caused by third-party platforms, devices, or service disruptions
Our total liability under these Terms for any claim related to the Services shall not exceed the amount you paid to Seamium in the 12 months preceding the claim or ₦50,000 (or its equivalent), whichever is lower.
14.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such cases, our liability will be limited to the minimum extent permitted by law.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Seamium Ltd., its affiliates, officers, directors, employees, partners, contractors, and agents (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your access to or use of the Services
- Your violation of these Terms or any applicable law or regulation
- Your breach of any representations or warranties made under these Terms
- Any User Content or data you provide that infringes, misappropriates, or violates the rights of any third party
- Any misuse or unauthorized use of the Services, including by someone using your account
15.1 Defense and Settlement
Seamium reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of any claim and not to settle any matter without our prior written consent.
15.2 Continued Obligation
Your indemnification obligations will survive termination or suspension of your account and your use of the Services.
16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
16.1 Jurisdiction
You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the courts of competent jurisdiction located in Lagos, Nigeria. You consent to the personal jurisdiction of those courts for resolving such disputes.
16.2 Dispute Resolution
Before initiating formal legal proceedings, you agree to attempt to resolve any dispute with Seamium informally by contacting [email protected]. We will attempt to resolve the dispute through good faith negotiations within 30 days of receiving your written notice.
If the dispute cannot be resolved informally, either party may pursue legal remedies in accordance with the jurisdiction and governing law specified above.
16.3 Injunctive Relief
Nothing in this section prevents Seamium from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent or stop unauthorized use of the Services, infringement of intellectual property rights, or breach of confidentiality obligations.
16.4 International Users
If you access the Services from outside Nigeria, you do so at your own risk and are responsible for compliance with local laws. Seamium makes no representation that the Services are appropriate or available in all jurisdictions.
17. FORCE MAJEURE
Seamium shall not be held liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from events beyond its reasonable control ("Force Majeure Events"), including but not limited to:
- Natural disasters (e.g., floods, earthquakes, hurricanes)
- Power outages, internet or telecommunications failures
- Government actions, regulations, or restrictions
- War, terrorism, civil unrest, or riots
- Epidemics, pandemics, or public health emergencies
- Labor strikes, shortages, or industrial disturbances
- Cyberattacks, distributed denial-of-service (DDoS) attacks, or acts of sabotage
17.1 Notification and Mitigation
Seamium will make reasonable efforts to notify affected users of a Force Majeure Event and to mitigate the impact where possible. However, delays or interruptions caused by such events will not be considered a breach of these Terms.
17.2 Suspension of Services
During a Force Majeure Event, Seamium may suspend access to some or all Services without liability. Once the event is resolved, services will resume as soon as reasonably practicable.
18. EXPORT CONTROLS AND SANCTIONS
Seamium's Services are subject to applicable export control laws and regulations of Nigeria, the United States, the European Union, and other relevant jurisdictions. You agree to comply fully with these laws and regulations.
18.1 Compliance
By using the Services, you represent and warrant that:
- You are not located in, under the control of, or a resident of any country or territory that is subject to economic or trade sanctions, embargoes, or other restrictions under international law
- You are not identified on any government-issued restricted party list, including but not limited to the U.S. Department of the Treasury's Specially Designated Nationals (SDN) List, the EU Consolidated Financial Sanctions List, or the Nigerian Sanctions List
- You will not use the Services for any purpose prohibited by applicable export laws, including but not limited to the development, design, manufacture, or production of nuclear, missile, or chemical/biological weapons
18.2 Restrictions on Transfers and Use
You may not export, re-export, transfer, or allow access to the Services to or from any country or entity subject to sanctions without proper authorization from the relevant authorities.
Seamium reserves the right to restrict access, suspend accounts, or terminate Services without notice if required by law or if there is a suspected violation of export control regulations.
18.3 User Responsibility
You are solely responsible for understanding and complying with any export and sanctions regulations that apply to your use of the Services in your jurisdiction.
19. MODIFICATIONS TO THE TERMS
Seamium may update or revise these Terms of Service from time to time to reflect changes in our business, technology, legal obligations, or user feedback.
19.1 Notification of Changes
We will notify you of any material changes by:
- Posting the revised Terms on our website or within the Seamium app
- Updating the "Last Updated" date at the top of this document
- Providing additional notice (e.g., email or in-app alert) when required by law or if the changes significantly affect your rights
19.2 Your Continued Use
By continuing to access or use the Services after the updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the changes, you must stop using the Services and may cancel your account at any time.
